Introduction 
The Subscription Trade Association (SUBTA) is a commercial service whose registered office is at 190 Wilshire Dr. Suite 190, Troy, MI 48084

When you join the SUBTA as a “member”, you are subscribing to a service from The Networking Organisation Ltd, a privately owned organization. The word “member” or “membership” refers to your subscription or your status as a subscriber to the service.

These terms and conditions form the basis of the contract through which SUBTA will deliver the service. On subscribing you agree to these terms and conditions and you are providing us with the appropriate consent to handle your personal information in accordance with the UK Data Protection Act.

Information handling 
SUBTA is a registered data controller with WHO?
SUBTA or its agent’s store, host and otherwise process the information (including personal data) supplied by its members / subscribers / users via its websites.

Use of Cookies
SUBTA follows guidelines on cookies as outlined by the Information Commissioners Office (ICO). See our Privacy Policy for more info.

General users – visitors to the SUBTA website
SUBTA does not collect any personal information from users visit and browsing its website. Only aggregate data — such as the number of visits per page — are collected. Aggregate data are only used for internal and marketing purposes and do not provide any personally-identifying information.

Data protection and use of personal data 
SUBTA is the Data Controller and Data Processor of any personal data you supply. The personal data you supply will be used to process your application for membership, application for services, newsletter, or information subscription or your application to become a partner.

The data collected by SUBTA through its website will be used for: marketing; statistical and analytical purposes; to improve its own web content; to develop new products and services and to administer membership.

SUBTA may monitor the usage of its website by members whilst respecting the privacy of its members. Additionally, SUBTA makes member contact information available through its Membership Directory to other members using its website and to those who register for its conferences. Please see our Privacy Policy for more information on how and for what purposes we use your personal data.

Data disclosures to third parties
SUBTA is committed to protecting the privacy and personal data of its members and subscribers.
SUBTA is funded by its partners – commercial providers of products and services – but SUBTA does not provide member or subscriber data to these partners except for the information that is readily available such as delegate lists for attendees of SUBTA events.

On occasion, SUBTA may provide limited data to third parties that offer products and services (such as Eventbrite used for registering events bookings). These limited data include names, job titles, organization name, and business addresses, but do not include personal or business phone numbers or e-mail addresses. SUBTA may send such data outside the European Economic Area for processing.

SUBTA may disclose member personal data if required to do so by law or r if SUBTA believes that such action is necessary: to comply with legal requirements; or to act under circumstances to protect the safety or security of its members.

No unlawful or prohibited use/Intellectual Property
You are granted a non-exclusive, non-transferable, revocable license to access and use www.subta.com strictly in accordance with these terms of use. As a condition of your use of the Site, you warrant to SUBTA that you will not use the Site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the Site or interfere with any other party’s use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site.

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of SUBTA or its suppliers and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto.

You will not modify, publish, transmit, reverse engineer, participate in the transfer or sale, create derivative works, or in any way exploit any of the content, in whole or in part, found on the Site. SUBTA content is not for resale. Your use of the Site does not entitle you to make any unauthorized use of any protected content, and in particular, you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your personal use and will make no other use of the content without the express written permission of SUBTA and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of SUBTA or our licensors except as expressly authorized by these Terms.

Use of Communication Services
The Site may contain bulletin board services, chat areas, news groups, forums, communities, personal web pages, calendars, and/or other message or communication facilities designed to enable you to communicate with the public at large or with a group (collectively, “Communication Services”), you agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service.

By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another’s computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded, restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including e-mail addresses, without their consent; violate any applicable laws or regulations.

SUBTA has no obligation to monitor the Communication Services. However, SUBTA reserves the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. SUBTA reserves the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever.

SUBTA reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in SUBTA’s sole discretion.

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. SUBTA does not control or endorse the content, messages or information found in any Communication Service and, therefore, SUBTA specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service. Managers and hosts are not authorized SUBTA spokespersons, and their views do not necessarily reflect those of SUBTA.

Materials uploaded to a Communication Service may be subject to posted limitations on usage, reproduction and/or dissemination. You are responsible for adhering to such limitations if you upload the materials.

Events
Members may be invited to events organized by SUBTA or by its partners if such events are considered to be of value and benefit to members as educational and networking opportunities. Our events may be subject to separate terms and conditions. Please check these at the time of booking.
EVENT RECORDING NOTICE: By attending any event, you agree to be photographed and/or filmed and give permission to use your likeness in promotional and/or marketing materials.

Prize Draw and Competition Rules
All prize draws and competitions which are associated with SUBTA offers are subject to separate terms and conditions, as written at the time of the prize draw, competition or offer. Prize draws are not open to employees of SUBTA. These terms and conditions override any contrary terms or conditions published by SUBTA in relation to any membership subscription between members and SUBTA.

Price Information
Any fees displayed on the SUBTA website are subject to change without notice.
We reserve the right to increase the price of products and services on regular basis. If this would be related to services subscribed by existing members, members will be informed in advance.

Governing law and jurisdiction
These terms and conditions are governed by US or Michigan law. You hereby irrevocably submit to the exclusive jurisdiction of the US courts notwithstanding the jurisdiction where you are based.
If any court or competent authority decides that any of the provisions of these terms are invalid, unlawful or unenforceable to any extent, the term will, to that extent only, be severed from the remaining terms, which will continue to be valid to the fullest extent permitted by the law.
A person who is not a party to these terms shall not have any rights under on in connection with them under the Contracts (Rights of Third Parties) Act 1999.

Cancellation/Refund Policy
You may cancel your subscription at any time. Any cancellations made after 30 days of service will not qualify for a refund. Please contact us at membership@subta.com with any questions.

Member opt-out
Membership communication will be in the form of email, text, telephone, and by post.
Members can update their preferences on their online profile and select:

  • which communication methods they do not wish to be contacted via
  • which type of emails they wish to receive

Conditions of membership – Right to refuse applications 
SUBTA membership is open to businesses or individuals who:

  • are subscription commerce providers, in good standing;
  • are suppliers of services and products to subscription commerce business, in good standing

Once a member submits an application, it is reviewed by the SUBTA team. If approved, the applicant receives an automated welcome message as a new member with login details into the member area of the SUBTA website. Applicants who are not approved will be contacted by SUBTA individually: either with a request for further information or informing the applicant of SUBTA’s decision to decline the application.

SUBTA reserves its right not to fulfill or to cancel a member application at any time.
If a member is accepted into SUBTA membership and subsequently it turns out that any or all of the information they provided was misleading or false: SUBTA reserves its right to revoke the membership with immediate effect, without the right of appeal.

Conditions of membership – Membership period
In general membership runs for 6 or 12 consecutive months from the date when a member has applied and their application has been approved.

Conditions of membership – Membership cancellation 
A member of SUBTA who has subscribed to SUBTA membership can cancel their membership anytime by contacting SUBTA in writing at membership@subta.com

Members who cancel their membership are removed from membership with effect from the date on which their resignation is received by SUBTA and all their member benefits and rights cease at that time.

Conditions of membership – Individual members’ obligations
SUBTA expects of its members the highest standards of dignity, fairness, and integrity. These values and expectations form the basis of SUBTA Code of Conduct that members are requested to abide.

Liability

Liability for 3rd parties: SUBTA liability to its members will not extend to any membership related benefits, goods or services provided by an external provider. SUBTA specifically excludes liability for any loss or damage suffered by a member because of her/his involvement in whatever manner with an external provider.

Accuracy of SUBTA information: Reasonable effort is made to ensure the accuracy of information provided on our websites, in newsletters, and any other publications; however, neither we nor the authors can accept liability for errors and omissions within its publications.

SUBTA Website:
The SUBTA website may contain links to other websites, which in turn may contain material that has been produced by third parties not affiliated with us. We have no control over those other websites and accept no responsibility or liability for information or content provided on such websites.

Even if data encryption is used, the security of information transmitted via the internet cannot be guaranteed. Any losses incurred or sustained by users who transmit information by electronic means shall be borne solely and exclusively by such user and in no event shall any such losses in whole or in part be borne by us. Force Majeure
If a SUBTA event or conference is postponed due to a Force Majeure occurrence before the first day of the event or conference, then SUBTA will reschedule the affected event or conference. Any and all sponsorship fees will be applied to the rescheduled event or conference. If you are unable to attend the rescheduled event or conference, then you may transfer your sponsorship, upon written notification to SUBTA management, towards another SUBTA event or conference, which is scheduled to be held within 18 months from the date of the affected event or conference. SUBTA reserves the right, at its discretion, to approve or deny such sponsorship fee transfer requests. If there is a difference in the registration fees between the affected event or conference and the alternative event or conference, the difference in the registration fees will be charged or refunded, as applicable, on the credit, you used to register for the affected event or conference.

Variations to this agreement 
SUBTA may change these terms and conditions at any time upon giving its members 14 days prior notice. The most recent edition of these terms and conditions will be binding upon SUBTA members, subscribers, and users. SUBTA Members may exit the contract if they do not accept any proposed variation. These terms and conditions override any contrary terms or conditions published in relation to any membership subscription between a member and SUBTA.

If SUBTA privacy policies change, SUBTA will notify its members and subscribers by e-mail or a special announcement placed on this website.

Queries, complaints, comments 
We will endeavor to respond within 48 hours to any complaint or query received. This may be an acknowledgment that we have received a complaint whilst further investigations are carried out. If you believe that any of the information SUBTA holds about you is incorrect or out of date, please forward the accurate information to membership@subta.com

If members wish to obtain a copy of their personal data held by SUBTA, then please write to membership@subta.com You may be asked to provide proof of your identity and for any further information that might help SUBTA to locate the data, you are seeking.
